Most incorporated business owners are running a predictable playbook—and leaving massive tax leverage on the table because of it.

Before you ask when to open a Holdco, you need to ask a much better question: Have I extracted every possible tax deduction from my Operating Company first?


The missing link between incorporation and a holding company is the Individual Pension Plan (IPP) or Personal Pension Plan (PPP).


When business owners blindly rush into the standard sequence:


Incorporate ➔ Holdco


They skip the chance to create massive corporate tax deductions, build creditor-proof retirement capital, and pull money out of their business tax-efficiently. A Holdco is a great place to park excess cash, but it does absolutely nothing to generate new corporate deductions today.


Smart money uses a different sequence:


Incorporate ➔ IPP / PPP ➔ Holdco

  • Maximize the Opco: You drain every ounce of tax-deductible leverage out of your operating company to fund your pension first.


  • Build the Next Layer: Only once you have captured those six-figure deductions and maximized your retirement capital do you move the remaining excess cash flow into a Holdco.


The Holdco gets all the hype because it is familiar.


The pension strategy gets ignored because it requires highly specialized expertise. But that misunderstood, highly complex middle step is exactly where the real financial leverage hides.


Smart structuring is not about adding corporate entities just to sound sophisticated. It is about sequence.


And getting the sequence right changes the entire trajectory of your wealth.
